AFFILIATE AGREEMENT

Build a Sustainable Income While Making a Difference

Effective Date: January 1 2024

Your use of AgeReverse.ca from Chiron Longevity Pharmaceuticals Inc. (referred to as “AgeReverse™” and “Website”) and all products and services available thereon are offered to you on your acceptance of our Terms of Use, our Privacy Policy, Shipping & Returns Policy, Legal Disclaimer, Affiliate Agreement, and any other notices posted on this website. Your use of this website, or of any products or services presented in any area of this website, indicates your acknowledgment and agreement to these terms and policies. We recommend that you print a copy of each of these documents for your records.

Introduction & Agreement Scope

This Affiliate Agreement (“Agreement”) is entered into by and between Chiron Longevity Pharmaceuticals Inc., a company registered in the Province of Ontario, Canada, operating under the trade name AgeReverse™ (“Company,” “we,” “us,” or “AgeReverse™”) and you (“Affiliate,” “you,” or “Partner”) upon your acceptance into the AgeReverse Affiliate Program (“Program”).

By joining the Program, you agree to comply with the terms outlined herein. This Agreement is a binding legal contract between AgeReverse™ and you.

Affiliate Eligibility & Enrollment

  • Participation in the AgeReverse™ Affiliate Program is subject to approval.
  • We reserve the right to approve or reject any application at our sole discretion without the obligation to provide a reason.
  • You must operate legally and ethically, following all applicable advertising, marketing, and data privacy laws.
  • Self-referrals, fraudulent activities, misleading advertising, or any attempt to manipulate the Program will result in immediate termination.

Commission Structure & Payments

Affiliates earn commissions based on the following tiered structure:

  • New Customer Signups (Subscription Start) → 18% Commission
  • Subscription Renewals:
    • 1st to 6th Renewal → 10% Commission
    • 7th to 12th Renewal → 15% Commission
    • 13th Renewal & Beyond → 25% Commission
  • Referral of Another Affiliate:
    • Earn 5% of all commissions earned by your referred affiliates (Tier 2 commissions)

Eligible Products:

Commissions shall only be payable on specific products designated as commission-eligible by AgeReverse™, such as our proprietary Resurge product line. The Company reserves the right, at its sole discretion, to modify the list of eligible products at any time without prior notice.

Payment Terms:

  • Commissions are paid monthly, provided you meet the minimum payout threshold of $100.
  • Payments are made via PayPal.
  • Any disputes regarding commissions must be raised within 30 days of payout.

Affiliate Responsibilities & Restrictions

  • Affiliates must not make unverified health claims, misrepresent AgeReverse™ products, or engage in deceptive marketing practices.
  • Spam marketing, unethical promotion, or misleading claims will lead to immediate termination.
  • All promotional materials must be pre-approved by AgeReverse™.
  • Affiliates cannot resell AgeReverse™ products under their own branding.

Affiliate Sales, Promotion, and Purchasing Limitations

As an authorized Affiliate of AgeReverse™, you explicitly agree and acknowledge the following terms and restrictions designed to protect pricing integrity, maintain consistent customer experience, and prevent fraudulent or unauthorized sales activities:

(i) Exclusive Promotion via Official Website:
Affiliates are strictly authorized to market and promote AgeReverse™ Products exclusively via direct affiliate links leading to the official AgeReverse™ website (https://agereverse.ca). Affiliates may freely share and promote these authorized affiliate links across their websites, social media platforms, emails, and other permissible digital channels. Affiliates are explicitly prohibited from listing, reselling, or directly selling any AgeReverse™ Product independently through third-party marketplaces, e-commerce platforms, physical stores, or any channels other than direct affiliate referral to the official AgeReverse™ website.

(ii) Pricing Compliance:
By exclusively promoting via the official AgeReverse™ website, Affiliates inherently agree to respect and comply with the official AgeReverse™ product pricing as established by AgeReverse™. Affiliates must not represent or imply discounted pricing, promotions, or sales beyond those clearly and officially advertised on the AgeReverse™ website.

(iii) Affiliate Personal Purchase Limits:
To mitigate fraud, chargebacks, and unauthorized reselling, Affiliate purchases for personal use are strictly limited to a maximum of five (5) units per Product SKU per transaction. Affiliates requiring higher volume purchasing privileges must directly contact AgeReverse™ to formally apply for consideration under a separate Distribution Agreement, subject to approval by AgeReverse™ at its sole discretion.

(iv) Violation and Enforcement:
Violation of any aspect of this Affiliate Sales, Promotion, and Purchasing Limitation clause constitutes a material breach of the Affiliate Agreement. Such breach will result in immediate termination of Affiliate status, revocation of all accrued or pending commissions, and potential legal action for damages or losses incurred by AgeReverse™.

(v) Distribution Agreement Option:
Affiliates who wish to pursue broader distribution opportunities, including higher-volume purchases, resale rights, white-label products, or other expanded selling arrangements, may formally apply directly to AgeReverse™ to request consideration for approval under a separate Distribution Agreement.

Intellectual Property & Brand Protection

  • Affiliates may use approved AgeReverse™ logos, trademarks, and promotional materials.
  • Modification of branding, trademarks, or marketing materials without written consent is strictly prohibited.
  • AgeReverse™ retains full ownership of its intellectual property, and affiliates cannot claim ownership.

Confidentiality & Data Protection

  • Any proprietary information shared with affiliates must remain confidential.
  • Affiliates must comply with all data protection and privacy laws when handling customer information.

Termination & Modification of Agreement

  • For Cause: AgeReverse™ may terminate this Agreement immediately if:
    • You violate any terms of this Agreement.
    • You engage in fraud, deception, or unethical marketing.
    • You engage in activity that harms AgeReverse™’s reputation.
  • For Any Reason: AgeReverse™ reserves the right to terminate this Agreement for any reason with a reasonable 90 days’ notice.
  • Company Sale or Business Changes: If AgeReverse™ undergoes a merger, acquisition, or business restructuring, the affiliate program may be modified or discontinued at the sole discretion of AgeReverse™.
  • Any unpaid commissions earned prior to termination will be paid according to the standard payout schedule unless termination was due to fraud or violation of terms.

Governing Law & Dispute Resolution

This Agreement shall be governed by Common Law, excluding conflict of laws principles.

Arbitration Clause: Any disputes arising out of this Agreement shall be settled through binding arbitration.

Amendments & Changes

  • AgeReverse™ reserves the right to update or modify this Agreement at any time.
  • Affiliates will be notified of changes, and continued participation constitutes acceptance of revised terms.

Acceptance of Agreement

By applying to and participating in the AgeReverse™ Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
